Service Detail from AENOR
The CEO of Enagás, Arturo Gonzalo Aizpiri, has received from AENOR's CEO, Rafael García Meiro, the AENOR Good Corporate Governance Index certificate, which includes the latest trends and includes the best governance practices at the international level.
The audit carried out for the granting of this certificate has endorsed Enagás' good work in this area, emphasising the soundness of its corporate governance model, as well as the quality and accessibility of the information published on its corporate website, in line with its commitment to transparency. Over the years, the company has built a solid Corporate Governance structure.
Both the Board and the Committees of the company follow the best practices in composition and operation, it has separate figures of Executive Director and Chairman of the Board, it has a Coordinating Independent Director and its committees are chaired by independent directors. The remuneration policy of the Board of Directors has been developed in line with long-term objectives and best corporate governance practices.
Enagás, with a majority of independent directors, is committed to diversity. In 2022, the company anticipated the CNMV's Good Governance recommendation and since then its Board of Directors has been made up of 40% female directors. In addition, the Enagás General Shareholders' Meeting maintains the number of members of the Enagás Board of Directors at 15, thus complying with the recommendation of the CNMV's Code of Good Governance.
Version 2.0 of AENOR's Good Corporate Governance Index measures the degree of compliance of companies with regard to governance, taking into account 7 variables: the Composition of the Board, the Functioning of the Board, its Committees, Remuneration, the General Shareholders' Meeting, Transparency and other aspects of corporate governance and Compliance. These variables include indicators that score until the final score is configured, in which Enagás has obtained the "highest recognition".
In the words of Enagás' CEO, Arturo Gonzalo Aizpiri, "for Enagás, obtaining the highest score (G ) in the certification in the Good Corporate Governance Index is a recognition of the company's long-term commitment to Corporate Governance".
For his part, the CEO of AENOR, Rafael García Meiro, wanted to "recognise the commitment to the ESG strategy that Enagás is developing. Society asks companies to act with values and at AENOR we ground these values in specific, auditable and certifiable processes. Good governance needs to be well explained to non-specialist audiences; this certification signals companies that, like Enagás, are at the forefront of good practices in corporate governance".
