3.0 CONTRACTUAL ISSUES AND EXPECTATIONS

The contract governing this project will be developed specifically to encompass this RFI and your Response. Standard contracts may be used as reference, but will not be the basis for negotiations. The General Terms and Conditions included in Appendix D forms the basis upon which the Special Terms and Conditions (project-specific) will be attached. Please review and note any changes you would propose or exceptions you have to those General Terms and Conditions.

Your Response you present will be made a basis for an exhibit to the contract in the event FNAX elects to proceed and you are the vendor of choice. As contracts typically state, the final contract encompasses the complete and exclusive agreement as to the products and services being acquired and the contract will supersede all communications, oral or written, between the parties. In support of this clause, FNAX Bank may require your Response or sections thereof and any additional documentation which describes the project framework, products, services, guarantees, warranties, response times, support, etc., to be made a part of the contract.
